Free Zone Tax Benefits – Are They Still Worth It in 2025?

The Free Zone Advantage: Are the Tax Benefits Still Worth It in 2025?

For decades, UAE free zones have been the go-to option for foreign investors, largely due to their promise of a 0% tax environment. With the introduction of a 9% federal corporate tax, a critical question has emerged: Are free zones still worth it? The answer is a resounding yes, but the reasons have become more nuanced. The tax benefits are still significant, but they are now tied to specific conditions.

This guide from the corporate structuring and tax experts at SKP Consultancy and Smart Stack Accounting, core members of the SKP Business Federation, breaks down the new reality of free zone tax benefits.

The New Concept: The “Qualifying Free Zone Person”

The 0% corporate tax rate in a free zone is no longer automatic. To benefit from it, your company must be a “Qualifying Free Zone Person” (QFZP). This is a legal status that requires you to meet a specific set of conditions.

The Conditions to be a QFZP:

  1. Maintain Substance: Your company must have adequate “substance” in the free zone. This means you need to have a real office and real employees conducting your core business activities from within the free zone. A “shell company” with just a mailing address will not qualify.
  2. Derive “Qualifying Income”: This is the most important condition. The 0% tax rate only applies to your “Qualifying Income.”
  3. Comply with Transfer Pricing Rules: You must comply with the UAE’s new transfer pricing rules.
  4. Maintain Audited Financial Statements: Your company must prepare and maintain audited financial statements.

What is “Qualifying Income”?

This is the income that is eligible for the 0% tax rate. It generally includes:

  • Income from transactions with other companies in the same free zone or in other free zones.
  • Income from the export of goods or services to clients outside the UAE.

What is not Qualifying Income?

  • Income from transactions with mainland UAE companies. This income is generally subject to the standard 9% corporate tax rate.

The Strategy: If your business model is focused on international trade, providing services to clients outside the UAE, or working with other companies within the UAE’s vast network of free zones, then a free zone company can still be an incredibly tax-efficient structure.

The “De Minimis” Rule: A Small Exception

There is a small exception to the rule about mainland income. A QFZP can have a small amount of non-qualifying income (i.e., income from the mainland) and still retain its 0% tax status. This is known as the “de minimis” requirement.

  • The Rule: Your non-qualifying income must not exceed 5% of your total revenue or AED 5 million, whichever is lower.
  • If you exceed this threshold, you will lose your QFZP status for that year and all your income will be subject to the 9% corporate tax rate.

Beyond Tax: The Other Benefits of a Free Zone

Even with the new tax law, free zones continue to offer a range of powerful benefits:

  • 100% Foreign Ownership: This remains a key advantage. You do not need a local Emirati partner.
  • 100% Repatriation of Profits: You can send 100% of your profits back to your home country.
  • Streamlined Setup: Free zones offer a one-stop-shop for company registration, licensing, and visa processing.
  • Industry-Specific Hubs: Many free zones are dedicated to specific industries (e.g., DMCC for commodities, Dubai Media City for media), creating powerful business ecosystems.

Building on the Right Foundation

The tax landscape for UAE free zones has changed, but their strategic value has not. For businesses with an international or inter-free-zone focus, the 0% corporate tax rate remains a powerful incentive. The key is to understand the new rules, ensure you meet the QFZP requirements, and structure your business accordingly. The free zone advantage is still very real, but it now requires a more sophisticated and compliant approach.
